  • Service Usage
    • Unibox subscription services detailed in the attached table form an integral part of these terms and conditions (the “Services”)
    • Users may not:
      • imitate or impersonate another person’s name or email address
      • send unsolicited emails to significant numbers of email addresses belonging to individuals and/or entities with whom you have no pre-existing relationship, which is considered as an act of spam.
      • send email in violation of any anti-spam law
      • send targeted or untargeted emails for the purpose of disrupting or harassing the recipients
      • intentionally distribute viruses or Trojans or anything of destructive nature
    • You must promptly notify Unibox Support of any breach of security related to your subscription, including, but not limited to, unauthorized use of your account and password.
    • After initial activation, the subscriber is expected to change the password instead of continuously using the initially communicated password, so that Unibox support team, or any other party who has a copy of the activation email, does not have the current passwords of any Unibox account.

 

  • Privacy, Security and Disclaimer
    • Unibox encrypts most services, including in specific but not limited to, Exchange, Lync, CRM and SharePoint services using SSL. We review our information collection, storage and processing practices including physical security measures and remote access to guard against unauthorized access to systems.
    • Unibox support or administration team may do administration tasks on your account with or without the subscriber’s prior consent, but may not access content of any of the Services associated with your account including the content of the your inbox without the subscriber’s or subscriber custodian consent. Unibox support team do not have implicit access to content of any Unibox subscriber. During certain specific troubleshooting events, Unibox privacy team may grant privileges to a Unibox administrator or support engineer to access a Unibox subscriber service for the sole purpose of troubleshooting, after getting the approval of the subscriber or the subscriber custodian, where the custodian is the person managing the Unibox agreement on behalf of the subscriber.
    • Even if access to user content has been granted to support team after user approval, Unibox Support and Unibox Administrators teams shall treat any content of the user’s inbox or any information relating to or generated by the use of any of the Services as a strictly confidential content (the “Confidential Information”), that cannot be shared with any party other than the user or the subscription custodian. 
    • Unibox shall not at all times:
      • disclose or distribute or permit to be communicated verbally, in writing or otherwise, directly or indirectly, any Confidential Information to any person or entity whatsoever without the prior written consent of the subscriber;
      • use the Confidential Information other than for the purpose of providing the Unibox subscription services nor to attempt to do nor permit a third party to do same;
      • copy or reproduce the Confidential Information without the prior written consent of the subscriber:
      • act in a manner with regards to the Confidential Information that would cause, or is likely to cause, damage, loss or harm to the subscriber;
    • This Confidential Information shall be protected with no lesser security measures and degree of care than those of which we apply to protect our own confidential information.
    • Unibox claims no ownership or control over any content used through the Services.
    • You understand and acknowledge that your use of the Services is at your sole risk and responsibility. You understand and acknowledge that Unibox and partners shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses.
    • Even though the Services architecture is built for a 99% uptime, an uptime less than 99% does not impose any liability on Unibox or partners.
    • Similarly, even though Unibox provide multi copy storage for all subscribers’ content, including replication and backup, Unibox is not liable for any loss of data or failure to recover any content.
    • Unibox subscribers are capable of performing backup for all content-based services, from their Windows computers, if they wish to.

 

  • Billing and Payment terms
    • The Services subscriptions are renewed and billed at the beginning of each fiscal year, with payment terms within one month from invoice issue date. Any changes during the year are reflected at the end of the year, through an invoice or a credit note depending on the changes, and with payment terms within one month.
    • A delay in payment exceeding one month from invoice issue date shall result in the suspension of the services for the concerned subscribers.
    • For new Unibox customers, the first agreement and invoice shall cover the period starting from the month of subscription to the end of the same year, so that the subsequent renewal agreement can start on 1- January of the year after.
    • Billing is subject to the applicable VAT rate.
    • There are no setup or activation fees for the Services
    • However, there are cancelation fees as follows: When a subscription is canceled or terminated, the cancellation fee is 3 months of subscription unless such cancellation or termination is due to Unibox or any of its partners or employees or staff’s negligence, fault or willful misconduct. As an example, a subscriber who has been billed for the whole year, and has settled the fees, decided to cancel the subscription in July, the account is suspended in July, but the refund is not done for all the remaining months, but rather 3 months less. That is, the customer gets a refund for November, December months, since August, September and October fees were used as cancelation fees.
    • Unibox cloud services subscriptions include a license fee that is paid by Unibox to Microsoft for each subscriber, where the customer is licensed to use these cloud services by Microsoft through Unibox as an intermediary.
